Submitter hereby assigns, transfers and sets over to Alley Cat Allies, exclusively throughout the world, all right, title and interest in and to all versions of images, photos, video, stories, text, and/or any other work of authorship (“Works”) submitted by Submitter electronically through Alley Cat Allies website including without limitation: the ownership of all copyrights in the Works throughout the world and any and all rights under the copyrights for the full term of all copyrights and any and all renewals, extensions and reversions thereof in the United States and elsewhere throughout the world; any and all versions and derivative works of the Works and any and all copyrights and renewal, extensions and reversions of copyrights in such other versions or derivative works; any and all causes of action for infringement of the Works, past, present and future; any and all proprietary rights; all of the proceeds from the Works accrued and unpaid and hereafter accruing; and any and all “moral rights” of Submitter in and to the Works. Submitter hereby represents and warrants that it has not sold, granted, conveyed, or assigned any of its rights, title, or interest in or to the Works, and that with this assignment, Alley Cat Allies is the only entity with any rights in and to the Works. Submitter shall execute, acknowledge, and deliver to Alley Cat Allies, or shall cause the execution, acknowledgment, and delivery to Alley Cat Allies, of such further instruments as Submitter shall deem necessary to affect the intent and purpose of this Agreement. Submitter hereby constitutes and appoints Alley Cat Allies as its true and lawful attorney-in-fact with full power of substitution, in Submitter’s name and stead, to take all steps necessary to enforce any claim or right to take applications, registrations, renewals, and extensions in and to the aforesaid copyrights. For good and valuable consideration, including the consideration for inclusion on Alley Cat Allies website, social media, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged. INTENDING TO BE LEGALLY BOUND HEREBY, submitter has executed this Agreement on the date set forth.
