Please read these terms and conditions carefully before submitting an application to take part in Pitch@Palace 12.0, an initiative run by Pitch@Palace Global and its affiliated entities ("the Initiative"). References to "we", "us" and "our" in these terms and conditions are references to Pitch@Palace Global and its affiliated entities.
By submitting this application, you agree that you have authority to act on behalf of the business named in Question 1 (“Business”) and any founder listed at Question 20 of the application form (“Founder(s)”) and therefore have the authority to accept these terms and conditions on behalf of the Business and Founders and bind them accordingly. References to "you" and "your" are to the Business and the Founders.
By submitting this application form to us, you hereby accept these terms and conditions and agree to comply with them.
Applications and all information relating to your entry must be in English, and must be legible, complete and otherwise compliant with these terms and conditions.
If anyone representing you is under 18 you will need to provide us with written confirmation of parental or legal guardian consent to your representative's participation in the Initiative.
You will be responsible for all your costs of entering and participating in the Initiative.
Applications will be assessed by our judges, whose decision is final.
Your commitments to us
To submit an application, and to be considered for the Initiative, you must:
- provide promptly any additional information we reasonably request;
- have any necessary authorisations, consents, licences and permissions necessary to submit your application and to present and market the Business;
- not infringe any intellectual property right, confidentiality obligations or other third party rights or contractual obligations in connection with participation in the Initiative;
- act lawfully, ethically and in good faith and comply with all applicable laws and with our reasonable instructions, including in relation to health and safety; and
- be available on the date of Boot Camp and the Main Event.
We lay no claim to the intellectual property rights in your entry or in materials generated by you for the purposes of the Initiative (unless such materials incorporate any of our own intellectual property).
Please do not disclose any confidential information (or information which you would not disclose to anyone else) in your application.
You permit us to give copies of your entry to the judges and to any individual who is matched to you as a mentor.
If we provide you with materials in connection with the Initiative, you may use them only for the purposes for which they were provided and we retain ownership of all intellectual property rights within them.
Except as permitted in any communications guidelines we may issue, or for the purpose of accurately describing your participation in Pitch@Palace events, you agree to seek our prior written approval for any significant publicity or promotional activity connected with the Initiative, and for any use of the name "Pitch@Palace" and any logo, trade marks or any other intellectual property of Pitch@Palace Global and its affiliated entities. You may not use or permit others to use the name and logos of any of our sponsors for any reason.
You will indemnify us and keep us indemnified against all liabilities, costs, expenses, damages and losses (including reasonable professional costs and expenses) that we suffer or incur, resulting from or connected with any claim that our use of materials or information you provide to us infringes the intellectual property or other rights of a third party. We take photographs and make film and/or sound recordings of Pitch@Palace events. The intellectual property rights in these photographs and recordings belong to us. Where any such recordings feature you and/or contain recordings of words spoken by you, you consent to our use of these recordings for the purposes of:
- administering and publicising the Initiative in any format or medium (including our website and social media accounts); and
- keeping an archive of our activities.
If within 36 months of the Main Event you or any related entity or business are seeking to raise finance then no less than 3 months prior to the closing of that financing or fundraising round:
a) you will inform us of that fact and provide us with details of the relevant fundraising event including (but not limited to) the amount you are trying to raise, the proposed terms of the fundraising and copies of any fundraising materials. By sharing such information and documents with us you agree that we may share them with third parties who we believe may be interested in the fundraising event; and
b) if following the provision of information as set out above we or our nominee wish to invest or provide financing, we and/or our nominee will have the opportunity to do so on terms (including as to the amount to be invested or provided) no less favourable than those offered to any third party investor or financier, and otherwise subject to such terms as may be agreed by you and us. You will be responsible for complying with any legal requirements relating to financial promotion and requests for investment; and
c) if such fundraising event is taking place via a Pitch@Palace introduction within 36 months of the Main Event, we shall, without prejudice to our rights under paragraph (b) above, have the right to participate in 2% of the total investment being made, for which investment we shall not be required to contribute any cash funding but the consideration for which shall be the introduction made by us. You will be responsible for complying with any legal requirements relating to financial promotion and requests for investment.
In these terms and conditions:
i) a “related entity or business” means a company, LLP, partnership or other business entity (whether incorporated or unincorporated) in relation to which you (including together with your spouse or close relatives (being parents, grandparents, children, grandchildren, siblings, uncles, aunts, nephews or nieces)) (a) directly or indirectly own, or are entitled to acquire, the majority or shares, voting rights or rights to distribution on a winding up or (b) are able to exercise direct or indirect control in relation to its business and affairs; and
ii) a “fundraising”, “financing” or “investment” shall include any form of investment whether by debt, equity, debt securities, equity securities or any other form that such investment may take.
Exclusion and limitation of liability
Nothing in these terms and conditions seeks to limit our liability for death or personal injury caused by our negligence or fraudulent misrepresentation. Subject to that, and to the next paragraph, our aggregate liability to you (and, where you are applying as a team, to all of you together) in connection with the Initiative (if any) shall be limited to £1,000.
To the extent permitted by applicable law, we exclude all liability for any direct, indirect, incidental or consequential loss or damage arising in any way, except where this is caused by our negligence. We are not responsible to you for the actions or statements of any other participant.
Our right to end your participation in the Initiative
We have the right to end your participation in the Initiative at any time and at our discretion if you do anything that directly harms our reputation (or the reputation of individuals associated with us) or that harms your own reputation in way which may, by association, harm our reputation (or the reputation of individuals associated with us).
We reserve the right to change, suspend or terminate the Initiative, including our event programme, at any time, without any liability to you.
No partnership or agency
Nothing in these terms and conditions establishes any partnership, joint venture or agency relationship between you and us, and you may not enter into any commitments for or on our behalf.
These terms and conditions shall be governed by and interpreted in accordance with the laws or England and Wales and the English courts have exclusive jurisdiction.
