Confidentiality / Non-Disclosure Agreement

By participating in this study I acknowledge that I may be exposed to concepts, prototypes, models, characters, designs, themes, ideas and information relating to the introduction of new products or modified products and/or product lines, communications, content, packaging, images, drawings, artwork, photographs or any variety of other information relating to the Client’s products and plans ALL OF WHICH ARE HIGHLY CONFIDENTIAL (“Confidential Information”).

I agree to hold all Confidential Information in strict confidence and WILL NOT, under any circumstances: (a) disclose Confidential Information to any third party, for any purpose whatsoever; (b) audio or video record, photograph, use, copy, transmit, reproduce or otherwise make any visual image or written description of the Confidential Information which is revealed, shown, displayed or described to me in any manner or format during the research study. I understand and agree that all Confidential Information shall remain the sole and exclusive property of the Client and I may not utilize it for any purpose whatsoever.  For absolute clarity, I understand and expressly agree that I WILL NOT discuss or disclose any of the Confidential Information with anyone, in any format or forum - including my friends and family – and I confirm that I WILL NOT post on social media, the internet or any other channel or media platform any images or written descriptions of any Confidential Information I may receive, view or obtain access to as a result of my participation in this research study.

I understand and acknowledge that any unauthorized disclosure or use of the Confidential Information will cause immediate and irreparable harm to the Client and that the Client shall have, among all other rights or remedies, the right to seek and obtain (i) an immediate injunction from any court of competent jurisdiction, without any requirement to post bond, enjoining any breach or threatened breach of this Agreement or unauthorized disclosure of the Confidential Information, and (ii) its costs and expenses (including, without limitation attorneys’ fees) related to any such unauthorized disclosure of the Confidential Information.

Privacy

(Name of Research Partner) agrees that we will not pass your personal details to third parties and we will do everything in our power to keep your personal details and data secure.
